Welcome to Custom Leads By Design (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our services, website, platforms, and related offerings (collectively, the “Services”). By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using our Services, you represent and warrant that you meet these requirements.
2. Services Provided
Custom Leads By Design provides lead generation, marketing automation, CRM licensing, and related support. We may update, modify, or discontinue any Service at any time without notice.
3. Account Registration
Clients may be required to create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
4. Fees and Payment
Fees are set forth in your Service Agreement or Order Form.
Setup fees and subscription payments are due in accordance with the terms agreed upon at sign-up.
All payments are non-refundable except as expressly stated in writing (e.g., 30-Day Lead Guarantee refund conditions).
Late or failed payments may result in suspension or termination of Services.
5. Term & Termination
Either party may terminate these Terms with 30 days’ written notice.
We may suspend or terminate your access immediately if you breach these Terms, misuse the Services, or fail to make timely payments.
Upon termination, all fees owed remain due and payable.
6. Client Responsibilities
Clients agree to:
Provide accurate and complete business information, access credentials, and assets required for Service delivery.
Use Services only for lawful purposes and in compliance with all applicable laws and regulations.
Not resell, sublicense, or exploit the Services without prior written consent.
7. Lead Guarantee
Custom Leads By Design may offer a 30-Day Lead Guarantee as outlined in the Service Agreement. The Guarantee is subject to:
Client providing timely cooperation, access, and approvals.
Campaigns being run in accordance with our recommended processes.
The Guarantee covering only qualified leads as defined in the Service Agreement.
Refunds or credits will only be issued if these conditions are met and the minimum number of leads is not delivered.
8. Intellectual Property
All content, software, designs, and documentation created by Custom Leads By Design remain our exclusive property. Clients receive a limited, non-exclusive, non-transferable license to use the deliverables for internal business purposes.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of the Services.
10. Warranties & Disclaimers
Services are provided “as is” without warranties of any kind, express or implied.
We do not guarantee specific business outcomes, revenue, or sales beyond what is expressly stated in the Service Agreement.
We are not responsible for delays, errors, or failures caused by third-party platforms, providers, or client actions.
11. Limitation of Liability
To the maximum extent permitted by law:
Custom Leads By Design shall not be liable for indirect, incidental, consequential, or punitive damages.
Our total liability for any claim shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Custom Leads By Design, its officers, employees, and affiliates from any claims, liabilities, damages, costs, and expenses (including legal fees) arising out of your use of the Services, breach of these Terms, or violation of law.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed under the laws of California. Any disputes shall be resolved exclusively in the courts located in California.
14. Modifications
We may update or amend these Terms at any time. Updates will be effective upon posting to our website. Continued use of the Services constitutes acceptance of the revised Terms.
